Regional Compliance Manager

OVERALL PURPOSE OF JOB:

 

Responsible for compliance for Now Health’s Asian operations, including the identification of best practice internal compliance practices and controls and (in conjunction with the Head of Legal and Compliance) implementation of these within the Company. Diagnose and develop procedures to ensure regional compliance with all regulatory, financial and core operational system requirements. Responsible for coordinating Now Health Group’s corporate secretarial matters for all regions including ensuring compliance with all statutory reporting and internal governance matters (in conjunction with the Head of Legal & Compliance).

 

 

KEY DUTIES & RESPONSIBILITIES

 

Support implementation of strategies, systems and controls to ensure compliance of local companies within the Now Health Group.
Coordinate and administer company secretarial activities for the regional Now Health group of companies.
Ensure corporate statutory reporting obligations are complied with and that license renewals are completed.
Coordinate Board and Committee meetings in accordance with the company byelaws and the needs of the business and be responsible for preparing agendas and minutes.
Administer any changes to the Boards, Committees or terms of reference for these.

Help in procuring relevant licenses in the territories the Now health Group wishes to trade in.

Monitor, report and advise on ongoing compliance of local business units within the Now Health Group and revising internal operating guidelines where agreed.

Assist with the review of regional legal documents including Agency Agreements, Terms of Trade, employment and I.T. contracts, property leases, sale and purchase agreements, deeds etc.
General first point of contact for any regional compliance issues.
Quality control and improvement over all Now Health’s brochures, policy wordings and documents etc to ensure compliance.

Develop, where required, a professional relationship with the regional regulatory bodies including MAS, Insurance Authority and BKPM.

Advise on and where agreed implement checklists and documentation to successfully satisfy regulatory and (re)insurer audits.
Document and where agreed implement compliance requirements and establish an effective method of audit, evaluation training, and methods of identifying and rectifying areas of non-compliance.
Help coordinate internal audits of regional Now Health group regulated entities, report outcomes and where agreed act on audit findings.
Advise regulators of any changes to permissions, approved persons or company details and seek approval from regulators on proposed changes where required.
Act as initial point contact for any questions or complaints from regulatory bodies
Provide or organise training on compliance issues for senior executives and staff.

Monitor and report on compliance of regional Now Health Group businesses with Health & Safety legislation or recognised best practice.
Responsibility for continued registration and ongoing compliance of regional Now Health Group businesses with relevant Data Protection legislation or recognised best practice.
Report to the Head of Legal and Compliance on any areas of risk or potential areas of non-compliance.

 

 

 

Compliance and Security

Establish and maintain up-to-date personal awareness of all legislative, regulatory and Company-specific rules, policies and procedures related to performance of the role.
Ensure consistent compliance with legal, regulatory and Company standards in line with underwriter requirements.
Pay particular attention to the Company’s Information and Data Security policies when accessing and using all Company systems which may provide access to sensitive information assets, and strive to maintain the highest possible standards of information protection at all times.
Take individual responsibility for accessing only the systems, records and information required to perform the role.
Treat all data contained within those systems in a manner consistent with the Company’s Information and Data Security policies, and in line with the confidentiality clauses provided within the employment contract.

 

EXPERIENCE AND SKILLS REQUIRED

 

Bachelor’s degree in a related area
Recognized legal or company secretarial qualification preferred
5 years' experiences incl. at least 2 years’ in a compliance or corporate secretarial role within the financial services or insurance sector
The ability to demonstrate requisite experience in managing compliance or company secretarial activities in a corporate environment
Experienced in analyzing business compliance needs, and implementing relevant control procedures
A good working knowledge and proven ability in the use of Microsoft Office applications is required
